These Terms of Service govern the design, development, redesign, review, maintenance, management and support services for WordPress websites provided by WPixo.
The terms applicable to each individual engagement are supplemented by the relevant quotation or proposal, which specifies the scope of work, price, estimated timeframe, duration and any specific conditions.
1. Service Provider

Hereinafter referred to as “WPixo”.
2. Scope of these Terms and Information Published on the Website
The pages of wpixo.com describe the general characteristics of WPixo’s services and allow prospective clients to request information or a quotation.
Unless expressly stated otherwise, information published on the website does not constitute a binding contractual offer and does not enable the direct purchase of a service.
Prices, timeframes and service characteristics published on the website apply only to the scope and conditions specified for the relevant service.
Additional requests, features not included in the selected service, technical circumstances identified during the initial assessment, licences and third-party services may result in additional costs or extended delivery times. Any such costs or changes will be communicated to the client before the additional work is carried out.
The accepted quotation, these Terms of Service and any applicable attachments together constitute the agreement between WPixo and the client.
In the event of a conflict, the specific terms contained in the quotation or proposal shall prevail over these general Terms, without prejudice to any mandatory rights granted by applicable law.
3. Formation of the Contract and Start of Work
Unless otherwise stated in the quotation, the contract is formed when WPixo receives the client’s written acceptance of the quotation and these Terms and confirms the engagement to the client.
Acceptance may be provided by signature, an unequivocal email response or another method that allows evidence of acceptance to be retained.
The client will receive the quotation and these Terms on a durable medium, normally by email.
The start of the work and any stated delivery timeframe are conditional upon WPixo receiving:
- any deposit or advance payment required;
- all materials, instructions and approvals necessary to perform the work;
- any technical access required for the engagement.
Any subsequent changes to the agreed scope, timeframe or price are valid only where agreed in writing.
4. Services Provided
Depending on the relevant quotation, WPixo may provide:
- design and development of new WordPress websites, including WPixo One and WPixo Pro;
- redesign and restructuring of existing WordPress websites;
- configuration of themes, plugins, forms and agreed functionality;
- organisation, layout and revision of materials provided by the client;
- one-off website review and maintenance through WPixo Check-up;
- ongoing maintenance through WPixo Care and WPixo Care+;
- ongoing website management through WPixo Website Management or External Website Manager services;
- operational support and white-label collaboration for agencies and professional studios;
- any additional services expressly identified in the quotation.
Only the services expressly included in the quotation or selected service plan are included.
Unless expressly stated otherwise, the following are not included:
- new pages, sections or functionality beyond the agreed scope;
- custom development of themes, plugins, PHP or JavaScript code, or complex integrations;
- e-commerce development or complex WooCommerce configurations;
- complete production of copy, photography, video or brand identity;
- advanced malware removal, server repair or systems administration;
- legal, tax, regulatory or other specialist professional advice;
- licences, subscriptions and third-party services.
Excluded work may be subject to a separate quotation or, with the client’s approval, entrusted to an external specialist.
5. Client Responsibilities and Cooperation
The client agrees to:
- provide the information, materials, access and instructions required within the agreed timeframe;
- verify the accuracy and completeness of text, data, prices, legal information and other content before publication;
- ensure that they have all necessary rights to use and provide WPixo with any text, images, trademarks, videos or other materials;
- appoint an authorised contact person who may approve decisions and revisions;
- protect credentials received and promptly report any suspected unauthorised access;
- inform WPixo before making, or instructing third parties to make, technical changes while work or an ongoing service is in progress;
- use the website in compliance with applicable law and third-party rights.
Delays in providing materials, responses or approvals may result in corresponding delays to the project without liability on the part of WPixo.
WPixo is not responsible for errors or malfunctions caused by changes made by the client or third parties without prior notice.
6. Third-Party Services and Contractors
Projects may use hosting services, domain registrars, themes, plugins, fonts, libraries, backup systems, monitoring tools, security tools, analytics services and other services provided by third parties.
The availability, terms, pricing, updates and data-processing practices of such services are governed by the respective third-party providers.
Unless otherwise stated in the quotation, domains, hosting, email accounts, paid themes and plugins, licences, subscriptions and specialist third-party services are purchased and paid for directly by the client and, wherever technically possible, registered in the client’s name.
WPixo’s coordination with an external provider does not mean that WPixo assumes that provider’s contractual or legal obligations.
WPixo will not incur additional third-party costs on behalf of the client without the client’s prior approval.
Where necessary, WPixo may engage qualified collaborators or specialist professionals to perform specific parts of an engagement, while remaining the client’s point of contact for the work entrusted to WPixo.
Any associated costs and working arrangements will be agreed in advance.
Access to confidential information or personal data will be limited to what is reasonably necessary and handled in accordance with applicable confidentiality and data-protection obligations.
7. Prices, Invoicing and Payment
The applicable prices are those stated in the quotation.
Unless otherwise stated, prices are expressed in euros (EUR).
The applicable tax treatment may depend on the client’s status, country of establishment or residence and the nature of the transaction and will be applied as required by applicable law.
For clients acting as consumers, the quotation will state the total price including any applicable taxes and mandatory charges.
Unless otherwise specified in the quotation:
- for website development and redesign projects, 50% is payable before work begins and the remaining 50% after final approval and before publication or final delivery;
- WPixo Check-up is payable in full before the intervention is scheduled and begins;
- monthly WPixo Care, WPixo Care+ and Website Management services are payable in advance for each month of service;
- annual plans are payable in advance in a single payment covering the twelve-month service period;
- agency collaborations and customised engagements are subject to the payment schedule stated in the relevant quotation;
- the first payment relating to a project constitutes an advance payment towards the total fee and is not a security deposit or contractual penalty unless expressly stated otherwise;
- payment is made by bank transfer unless otherwise agreed in writing.
Any discounted annual price is conditional upon payment of the full annual fee in advance and relates to the availability of the service throughout the agreed twelve-month period.
If payment is overdue, WPixo may suspend the start of work, ongoing activities, publication or recurring services after notifying the client.
Any statutory interest or other remedies available under applicable law remain unaffected.
8. Timeframes, Revisions, Approval and Technical Warranty
Timeframes stated in a quotation are estimates based on the information available at the time of quotation and begin only once the requirements listed in Section 3 have been satisfied.
For website development and redesign services, unless otherwise stated, two revision rounds are included while the website remains in its private development environment.
A revision round means a coordinated set of comments relating to work already included within the agreed scope and submitted together in a single communication.
New requests, structural changes of direction or work outside the agreed scope may require a separate quotation and may affect the delivery timeframe.
Final approval must be provided in writing.
If the client does not respond to a request for materials, feedback or approval for more than 30 days, WPixo may suspend the project and agree a new schedule with the client before work resumes.
Any post-launch technical warranty will last for the period stated in the quotation or selected service plan and applies exclusively to reproducible defects directly attributable to work performed by WPixo.
The technical warranty does not include:
- new requests;
- content updates;
- modifications made by the client or third parties;
- failures of external services;
- incompatibilities or technical issues arising after delivery that are not directly attributable to WPixo’s work.
9. Publication, Delivery and Intellectual Property
Publication takes place after final approval and payment of the outstanding balance.
The client receives the agreed administrative access and retains ownership or control of their domain, hosting account, content and accounts registered in their own name.
Following full payment, the client may use and modify, without time limitation, the original elements specifically created by WPixo for the project, unless otherwise stated in the quotation.
WPixo retains ownership of its know-how, working methods, pre-existing materials and generic or reusable elements that were not created exclusively for the client.
Source files, working materials or resources not incorporated into the final website are supplied only where expressly included in the agreement.
Themes, plugins, fonts, photographs, libraries, services and other third-party components remain subject to their respective licences.
Their continued use, updates or renewal may require additional fees and does not result in the transfer of intellectual property rights belonging to their respective owners.
Unless the client objects in writing, WPixo may:
- include a discreet professional credit in the website footer; and
- display the completed project in its portfolio and professional communication channels.
10. Content, Compliance and Accessibility
The client remains responsible for:
- the content published on the website;
- the accuracy of information relating to their business;
- compliance with legal requirements applicable to their website and activities.
Unless expressly included in the quotation, WPixo’s services do not include legal, tax or regulatory advice, nor certification of compliance relating to:
- privacy and data protection;
- cookies and tracking technologies;
- e-commerce;
- accessibility;
- copyright and intellectual property;
- sector-specific regulations applicable to the client’s business.
WPixo may provide technical assistance in implementing texts, banners, forms and tools specified by the client or their professional advisers.
Such technical implementation does not replace legal or other specialist professional advice.
Where a website is intended for users in jurisdictions other than Italy, the client remains responsible for identifying any additional laws, regulatory requirements or accessibility standards applicable to its business and target market unless a separate compliance service has expressly been agreed.
11. WPixo Check-up
WPixo Check-up is a one-off service intended for existing and operational WordPress websites.
It includes only the activities specified in the service description and accepted quotation, which may include:
- preliminary assessment of the website’s condition;
- full backup before work begins;
- controlled updates of WordPress, the active theme and plugins;
- review of the main pages and functions;
- essential security and vulnerability checks;
- review of forms, links, cache and database;
- restoration of the previous working state where an update performed during the intervention causes an incompatibility and restoration is technically possible;
- a final service report describing the work performed and any issues identified.
The service ends when the agreed activities have been completed and the final report has been delivered.
WPixo Check-up does not include ongoing monitoring, scheduled backups, future updates or continuing support.
Any subsequent intervention must be requested and agreed separately.
Activation of WPixo Check-up is subject to a preliminary assessment.
Serious malfunctions, malware infections, abandoned software components, missing licences or work required to make the website technically suitable for maintenance may require a separate quotation or may prevent the service from being carried out.
In such cases, WPixo will inform the client before performing additional work.
12. WPixo Care and WPixo Care+
WPixo Care and WPixo Care+ are ongoing maintenance services for WordPress websites that successfully pass WPixo’s preliminary technical assessment.
For websites not developed or previously managed by WPixo, an initial WPixo Check-up may be required.
Any work required to make a website suitable for ongoing maintenance will be communicated to the client and, where not included in the service, quoted separately.
Unless otherwise stated in the quotation, WPixo Care includes:
- one scheduled maintenance session per month;
- controlled updates of WordPress, theme and plugins;
- automatic daily backups stored on infrastructure separate from the website;
- website uptime monitoring;
- periodic security and known-vulnerability scanning;
- checks of essential functions after updates;
- restoration from an available backup where an update performed by WPixo causes a malfunction;
- email support within the response times stated in the service plan;
- a monthly service report.
Unless otherwise stated in the quotation, WPixo Care+ includes everything included in WPixo Care, plus:
- periodic checks of forms, links, cache and database;
- periodic review of general website performance;
- coordination with the hosting provider where necessary;
- priority support within the response times stated in the service plan;
- minor updates to existing text, images and information within the monthly time allowance specified in the plan;
- straightforward configurations using tools already available on the website.
Any monthly time allowance included for changes or assistance:
- does not accumulate and cannot be carried over to future months;
- does not include new pages, new functionality, redesign work or custom development;
- includes time spent on analysis, operational communication, testing and coordination reasonably required to process the request;
- requires approval for additional work once the included time allowance has been exhausted.
Unless otherwise expressly stated, support times refer to the initial response or acknowledgement of the request during business days.
For the purposes of these Terms, business days are Monday to Friday, excluding public holidays observed in Italy.
The response period begins once WPixo has received a sufficiently complete request and any access required to investigate it.
Response times do not constitute continuous availability and do not guarantee complete resolution within the same period.
Resolution times depend on factors including:
- the complexity of the issue;
- availability of the required access;
- the client’s responses;
- the involvement of third-party providers.
Uptime monitoring detects website unavailability according to the operation and frequency of the monitoring tool used. It does not constitute continuous manual supervision.
Security and vulnerability scanning reduces technical risk but cannot guarantee the detection or prevention of every threat.
Automatic daily backups begin only after the backup system has been successfully activated and connected.
Backup retention periods and the number of available restore points depend on the selected plan and configured service and are specified in the relevant documentation or quotation.
No backup system can guarantee the absolute recoverability of every item of data.
Included restoration means restoring an available working backup where the relevant issue was directly caused by an update performed by WPixo.
It does not include:
- reconstruction of content or data added after the restored backup was created;
- problems caused by malware;
- hosting or server failures;
- licence issues;
- changes performed by third parties;
- pre-existing defective components.
Unless otherwise agreed in writing, the following are not included:
- new pages;
- new functionality;
- website redesigns;
- premium licences;
- substantial content work;
- custom development;
- full malware remediation;
- systems administration;
- emergency work outside normal business days.
13. Duration, Renewal and Termination of Ongoing Services
The activation date and service period are stated in the quotation or service activation communication.
A monthly plan lasts for one month and is paid in advance.
It continues for a further month only after payment for the following service period, unless otherwise agreed in writing.
An annual plan lasts for twelve months and is paid in advance in a single payment.
Any discounted annual price compared with the corresponding monthly plan relates to the entire twelve-month commitment.
WPixo Care, WPixo Care+ and Website Management do not automatically renew and do not involve automatic recurring charges, unless expressly agreed otherwise in writing.
At the end of the paid service period, the service ends unless the client confirms renewal and pays the fee applicable to the new period.
A business client who asks to terminate an already-paid service period before its expiry is not entitled to a proportional refund for the unused portion, unless otherwise agreed in writing or where termination results from a breach attributable to WPixo.
For consumers, the withdrawal rights described in Section 15, other mandatory statutory rights, remedies arising from a breach by WPixo and any more favourable conditions expressly stated in the quotation remain unaffected.
If WPixo permanently discontinues a service for reasons not attributable to the client, WPixo will refund the proportion of any advance payment attributable to recurring services not yet provided, unless WPixo proposes and the client accepts an equivalent alternative arrangement.
When the service ends:
- updates managed by WPixo stop;
- monitoring stops;
- no new backups are created by WPixo;
- periodic reports stop;
- WPixo support ends;
- technical access is returned, revoked or closed as agreed.
The client is responsible for arranging the subsequent technical continuity and maintenance of the website.
Existing backup copies will be retained only for the period provided by the relevant backup system unless otherwise agreed in writing.
14. Website Management and Agency Collaboration
WPixo Website Management, External Website Manager services and agency collaborations are customised ongoing services.
The quotation specifies:
- included activities;
- monthly time allocation;
- communication channels;
- priorities;
- response times;
- excluded work.
Unless otherwise stated:
- monthly allocated time does not accumulate and cannot be carried over to future periods;
- requests, materials and approvals must come from the authorised contact person;
- WPixo may create or modify pages and sections using the theme, blocks, page builders and other tools already available on the website and technically suitable for the requested work;
- programming, new integrations, complex repairs and specialist services are assessed separately;
- work exceeding the agreed time allowance or scope requires prior approval.
For white-label collaborations, WPixo treats the identity of the agency’s end clients, materials and information received as confidential.
WPixo will not contact the agency’s end client directly unless authorised by the agency or where direct contact has been expressly agreed as necessary for the engagement.
15. Consumer Right of Withdrawal
This Section applies exclusively to clients acting as consumers, meaning natural persons entering into the contract for purposes outside their trade, business, craft or profession.
A consumer may withdraw from a distance contract, without giving any reason, within 14 days from the date the contract is concluded, subject to the conditions and exceptions provided by applicable law.
To exercise the right of withdrawal, the consumer must send an unequivocal statement to:
The model withdrawal form provided at the end of these Terms may be used but is not mandatory.
If the consumer expressly asks WPixo to begin providing the service before the end of the 14-day withdrawal period and subsequently exercises the right of withdrawal, the consumer must pay an amount proportionate to the services performed up to the time WPixo is informed of the withdrawal.
Where the service has been fully performed before the end of the withdrawal period, the consumer loses the right of withdrawal only where performance began with the consumer’s prior express request and the consumer acknowledged that the right of withdrawal would be lost once the service had been fully performed.
Where a valid withdrawal is exercised, WPixo will refund any amount due to the consumer without undue delay and in any event within 14 days of being informed of the withdrawal.
The refund will be made using the same payment method used by the consumer unless another method is expressly agreed and does not result in additional costs for the consumer.
Any amount proportionate to services already supplied at the consumer’s express request remains payable where permitted by applicable law.
Before starting work during the withdrawal period, WPixo may require the consumer to provide a separate declaration substantially equivalent to the following:
“I expressly request that WPixo begin providing the service before the end of the 14-day withdrawal period. I understand that once the service has been fully performed I will lose my right of withdrawal and that, if I withdraw before completion, I may be required to pay an amount proportionate to the services already provided.”
The statutory right of withdrawal described in this Section does not apply to clients purchasing services in connection with their trade, business, craft or professional activity.
Nothing in this Section limits any additional or more favourable mandatory consumer right that may apply under the law applicable to the consumer.
16. Suspension, Cancellation and Termination
After expiry of any applicable withdrawal period, the client may request in writing that a one-off project be discontinued.
In that case, the client must pay for:
- work already performed;
- services or commitments already incurred;
- non-recoverable costs previously approved by the client.
WPixo will refund any remaining excess amount already paid.
WPixo may suspend performance where there is:
- non-payment;
- prolonged failure by the client to cooperate;
- lack of required access;
- a security risk;
- unlawful use of the service;
- another material breach of the agreement.
WPixo will notify the client of the suspension.
WPixo may terminate the agreement if a breach is not remedied within a reasonable period specified in the notice, except where the seriousness of the breach makes continued performance unreasonable or impossible.
Fees relating to work already performed and approved non-recoverable costs remain payable.
On termination, both parties will reasonably cooperate in returning the other party’s access credentials and materials.
Additional migration, export, documentation or handover work not included in the service may be quoted separately.
17. Warranties and Liability
WPixo performs its services with the professional care and skill reasonably expected in relation to the nature of the engagement.
WPixo will address reproducible defects directly attributable to its own work where they are properly reported during the agreed technical warranty period or, where no such period has been specified, within a reasonable period.
WPixo does not guarantee:
- financial or commercial results;
- specific website traffic levels;
- search-engine rankings;
- enquiries or leads;
- conversions;
- sales.
Such results depend on factors including the market, content, competition, reputation, promotion, user behaviour and other circumstances outside WPixo’s control.
WPixo is not liable for interruptions, failures or losses attributable exclusively to:
- hosting providers;
- domain registrars;
- networks or telecommunications providers;
- third-party service providers;
- third-party software;
- changes made by the client or other parties;
- compromised credentials where the compromise is not attributable to WPixo;
- unlawful content supplied by the client;
- events outside WPixo’s reasonable control.
Updates, backups, monitoring and security activities reduce technical risks but cannot guarantee the complete absence of vulnerabilities, incompatibilities, malware, downtime or data loss.
Nothing in these Terms excludes or limits:
- mandatory consumer rights; or
- liability that cannot lawfully be excluded or limited, including liability for wilful misconduct or gross negligence where applicable.
For business clients, except in cases of wilful misconduct, gross negligence or another liability that cannot legally be limited, WPixo’s total aggregate liability shall not exceed:
- for a one-off service, the total amount actually paid for the service from which the claim arises;
- for an ongoing service, the total amount actually paid for that service during the 12 months preceding the event giving rise to the claim.
To the maximum extent permitted by applicable law, WPixo will not be liable for indirect or consequential losses or loss of profit that could not reasonably have been foreseen at the time the contract was entered into.
18. Force Majeure
Neither party is liable for delay or failure to perform caused by events that are unforeseeable and outside that party’s reasonable control, including:
- widespread network or infrastructure outages;
- acts or orders of public authorities;
- natural disasters;
- armed conflict;
- serious disruption affecting essential third-party providers;
- large-scale cyberattacks.
The affected party will inform the other party as soon as reasonably possible and take reasonable measures to minimise the impact.
If the event continues to the point that the outstanding service becomes impossible or no longer reasonably useful, either party may request termination of the activities not yet performed.
Payment for work already completed and any mandatory statutory rights remain unaffected.
19. Confidentiality and Artificial Intelligence Tools
Each party agrees not to disclose technical, commercial, organisational or other information received as confidential in connection with the engagement and to use such information only for the purposes of performing the agreement.
This obligation does not apply to information that:
- is already publicly available;
- was lawfully known to the receiving party;
- was independently developed without use of the confidential information;
- must be disclosed by law or by a competent authority.
WPixo may use artificial intelligence tools to assist with activities such as research, organisation, design, drafting and optimisation.
Outputs generated or assisted by such tools are selected, reviewed and refined through professional human oversight.
When using these tools, WPixo limits the information transmitted to what is reasonably necessary for the relevant work and avoids submitting unnecessary personal data or confidential materials to publicly accessible services.
Any processing of personal data on behalf of a client remains subject to Section 20 and, where applicable, the relevant Data Processing Agreement.
20. Personal Data Protection
WPixo acts as an independent Data Controller in relation to personal data required to manage:
- enquiries and communications;
- quotations;
- contractual relationships;
- invoicing;
- legal and administrative obligations.
Such processing is described in the Privacy & Cookie Policy published on the website.
Where performance of a service requires WPixo to access or process personal data contained on a client’s website on behalf of the client, the client will normally act as the Data Controller and WPixo as the Data Processor.
Where required, the parties will enter into a Data Processing Agreement compliant with Article 28 of Regulation (EU) 2016/679 (GDPR) before WPixo begins processing personal data on the client’s behalf.
Any use of sub-processors, including providers of backup, monitoring or technical support services, will be governed by the Data Processing Agreement and the authorisations required under applicable data-protection law.
21. Governing Law and Dispute Resolution
The agreement is governed by Italian law.
Where the client acts as a consumer, this choice of law does not deprive the consumer of any mandatory protection afforded by the law that would otherwise apply under applicable conflict-of-law rules, including mandatory protections available in the consumer’s country of habitual residence where applicable.
For consumers, jurisdiction is determined in accordance with the mandatory consumer-protection and jurisdiction rules applicable to the individual contract.
Accordingly, nothing in these Terms requires a consumer to bring proceedings exclusively before the courts of Palermo where applicable law grants that consumer the right to bring proceedings before the courts of their place of residence or another competent court.
Consumers may also have access to alternative dispute resolution mechanisms provided under applicable law.
For clients acting in the course of their trade, business, craft or profession, the Courts of Palermo, Italy shall have exclusive jurisdiction, unless otherwise agreed in writing or prohibited by mandatory law.
22. Applicable Version of these Terms
The version of these Terms accepted together with the relevant quotation applies to the contract.
Updates subsequently published on the website do not unilaterally modify contracts already concluded.
Updated Terms apply only to:
- new agreements; or
- subsequent renewals after the updated Terms have been communicated to the client.
Specific Approval by Business Clients
A client acting in the course of their trade, business, craft or profession specifically approves, pursuant to Articles 1341 and 1342 of the Italian Civil Code, the following provisions:
- Section 5: consequences of delays, unreported modifications and third-party activities;
- Section 7: suspension due to late payment and advance payment for ongoing services;
- Section 8: project suspension and rescheduling and limitations of the technical warranty;
- Section 11: eligibility requirements, scope and exclusions applicable to WPixo Check-up;
- Section 12: scope, exclusions, non-accumulation of monthly time allowances, support response times and limitations relating to monitoring, security, backups and restoration under WPixo Care and WPixo Care+;
- Section 13: duration, absence of automatic renewal, termination and financial consequences of early termination of ongoing services;
- Section 14: scope, exclusions and non-accumulation of time allowances for Website Management and agency collaborations;
- Section 16: WPixo’s rights to suspend and terminate the service;
- Section 17: exclusions and limitations of liability;
- Section 18: force majeure;
- Section 21: exclusive jurisdiction of the Courts of Palermo for business clients.
This specific approval must be obtained separately from the client’s general acceptance of these Terms.
